Terms of Service 

Effective Date: August 20, 2025 

These Terms of Service (“Terms”) govern your access to and use of services provided by U Professional Inc. (“U Professional,” “we,” “us,” or “our”), a Michigan corporation with its principal place of business at 6670 Kalamazoo Ave SE, Ste D, Grand Rapids, MI 49508. 

By accessing or using our website, platforms, or related services (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services. 

 

 Eligibility 

You must be at least 18 years old and legally capable of entering into binding contracts under Michigan law to use the Services. By using the Services, you represent and warrant that you meet these requirements. 

 

 Acceptable Use 

You agree to use the Services only in compliance with all applicable federal, state, and local laws, including but not limited to the Michigan Consumer Protection Act (MCL 445.901 et seq.) and the Michigan Internet Privacy Protection Act (MCL 445.946 et seq.). 

Prohibited conduct includes: 

  • Using the Services for fraudulent, unlawful, or misleading purposes; 
  • Attempting unauthorized access to systems or accounts; 
  • Introducing malware, bots, or automated scraping tools; 
  • Infringing upon the intellectual property rights of U Professional or any third party. 

Violation may result in immediate suspension or termination of your access. 

 

 Intellectual Property 

All content, software, and trademarks associated with the Services are owned by U Professional or licensed to us. You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business use. No ownership rights are transferred to you. 

 

 Accounts and Security 

If you create an account, you are solely responsible for maintaining the confidentiality of your credentials and for all actions taken under your account. You must promptly notify us at support@uprofessional.com of any unauthorized access. 

U Professional shall not be liable for losses resulting from your failure to secure your account. 

 

 Third-Party Content 

The Services may contain links or integrations with third-party websites or services. U Professional does not endorse, control, or assume responsibility for such third-party resources. Your dealings with third parties are solely between you and them. 

 

 Disclaimer of Warranties 

TO THE FULLEST EXTENT PERMITTED UNDER MICHIGAN LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 

U PROFESSIONAL DOES NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OF THE SERVICES. 

 

Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY MICHIGAN LAW, U PROFESSIONAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. 

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: 

  • $100, OR 
  • THE TOTAL AMOUNT PAID TO U PROFESSIONAL FOR SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM. 

Indemnification 

You agree to indemnify, defend, and hold harmless U Professional, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: 

  • Your use of the Services; 
  • Violation of these Terms; 
  • Violation of Michigan or federal law; 
  • Infringement of intellectual property or other rights of third parties. 

 

 Governing Law 

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles. 

 

Arbitration and Dispute Resolution 

Any dispute, controversy, or claim arising from or relating to these Terms or the Services shall be resolved by binding arbitration in Kent County, Michigan, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. 

  • Arbitration shall be conducted before a single arbitrator. 
  • The arbitrator shall have exclusive authority to resolve disputes regarding enforceability, interpretation, and scope of these Terms. 
  • Judgment on the award rendered may be entered in any court of competent jurisdiction in Michigan. 
  • YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS. 

 

  1. Changes to Terms

We may update these Terms from time to time. Any changes will be effective upon posting to our website with a revised “Effective Date.” Continued use of the Services constitutes acceptance of the updated Terms. 

 

 Severability 

If any part of these Terms is deemed invalid or unenforceable under Michigan law, the remaining provisions shall remain in full force and effect. 

 

 Entire Agreement 

These Terms, along with our Privacy Policy and any written service agreements, constitute the complete agreement between you and U Professional.
